Roles & Responsibilities:
- Advise Governing Body on legal, regulatory and governance implication of any policy and decision.
- Timely circulation of working papers prepared by management in accordance with the agenda of the meeting to all directors enabling them to make sound decision.
- Arrange venue and other logistic support to conduct effective Governing Body meetings and circulate notice and agenda of the meetings.
- Arrange approval of urgent organisational matters by the Governing Body through circulation of resolutions.
- Keep under review all legal and regulatory developments affecting the organisations operations and make sure the Directors are properly informed of the same and facilitates appropriate action from the organisations part for compliance.
- Plan and organise regulatory meetings within and outside organisation.
- Extract and prepare regulatory minutes of the meetings and communicate with respective stakeholders to ensure the outcomes of the meetings are being practiced accordingly.
- Provide legal and strategic advice during and outside of meetings to management team.
- Interpret, circulate and/ or implement legal policies and procedures of government and other regulators in the organisation.
- Formulate policy, process and procedures on risk management issues and ensure compliance.
- Maintain liaison and good working relationship with the regulators at all level and notify respective departments regarding regulatory or statutory changes that might affect the organisation.
- Develop and implement processes or systems to help ensure good management of the organisation or compliance with legislation.
- Review legal agreements/ contracts to identify and prevent probable disputes.
- Safeguarding Responsibilities:
- Establish a safeguarding culture across all level of the programme by implementing the safeguarding policy. Act as a key source of support, guidance and expertise on safeguarding for establishing a safe working environment.
- Responsible to ensure team members are appropriately trained, supported and have access to resources regarding issues that are identified and actioned in accordance with the safeguarding policy and procedure.
- Follow the safeguarding reporting procedure in case any reportable incident takes place, encourage others to do so.
Educational Qualification:
- Masters in any discipline.

- Minimum 8 years experience in relevant field including 5 years experience as Company Secretary.
