Roles & Responsibilities:
- Guide the chairman/MD and the board to ensure they are operating in accordance with rules and regulations
- Support the chairman in ensuring the board functions efficiently and effectively
- Facilitate good communication between the board, committees, senior management and non-executive directors, and shareholders
- Take responsibility for the administration of the company, for example: maintaining statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and present shareholdings, organizing board meetings and annual general meetings (AGMs), preparing agendas and taking minutes
- File necessary documents with Companies House, such as annual tax returns and audit reports
- Inform Companies House of any significant changes to the company’s share capital, administration or registered address
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action
- Liaise with external regulators and advisers, such as lawyers and auditors
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
- Pay dividends and manage share option schemes and take a role in share issues, mergers and takeovers.
- Prepare board meeting minutes to register a new company
- Prepare Memorandum And Article of Association
- Prepare required forms to approve new company from government
- Appoint directors of the company
- Change directors of the company
- Attend and arrange Annual General Meeting
- Arrange any board meeting resolution
- Increase share of the company
- Prepare papers to apply of public listing company
- Update to the employer about listing rules and regulations
- Keep relation with employer, employees, auditor, government and non government bodies.
- Act as director of the company, if necessary
- Any other task assigned by the management.
Educational Qualification:
- Masters in any Discipline.
- Chartered Secretary of Bangladesh (ICSB) from certification will be preferred.
- Education may be relaxed for experienced candidates.

Others Requirements:
- Must have the practical experience in the position of Company Secretary for at least 05 years and the total experience should be not less than 10 years in reputed organization.
- To ensure that affairs of the company are managed in accordance with its objects contained in the article of association and the provisions of the companies law.
- To attend the board meetings in order to ensure that the legal requirements are fulfilled and provide such information as are necessary.
